Acceptance of Terms

By accessing our website, submitting an enquiry, or entering into an engagement with Cinderpath, you accept these Terms and Conditions in full. If you do not accept these terms, you should not use our website or engage our services.

Our services are intended for business organisations and individuals acting in a professional capacity. You represent that you are at least 18 years of age and have the authority to enter into a binding agreement on behalf of yourself or your organisation.

Service Description

Cinderpath provides business consulting services focused on operating metrics review, working document design, and embedded operating support for organisations primarily based in Thailand. Services are described in detail on our Solutions page and are confirmed in a written scope document at the start of each engagement.

We reserve the right to decline or discontinue services at our discretion, including where the proposed engagement is not a suitable fit for our practice or where the terms of engagement cannot be agreed in writing.

User Responsibilities

You agree to use our website and services in good faith and in compliance with applicable Thai law. You agree not to:

• Submit false or misleading information via our website contact forms
• Use our website in any manner that could damage, disable, or impair its operation
• Attempt to gain unauthorised access to any portion of our website or related systems
• Reproduce, distribute, or commercially exploit content from our website without written permission
• Use our website for any unlawful purpose

During an engagement, you agree to provide reasonable access to information, personnel, and materials necessary for the consultant to carry out the agreed scope of work.

Intellectual Property

The content of this website — including text, design, layout, and brand elements — is owned by Cinderpath and protected under applicable Thai intellectual property law. You may view and print content for personal reference but may not reproduce, redistribute, or use it commercially without our written consent.

Engagement deliverables: Written reports, template libraries, and other documents produced in the course of an engagement are delivered to the client organisation and become client property upon delivery, subject to full payment of the agreed engagement fee. Cinderpath retains no ongoing rights to restrict the client's use of those deliverables within their own organisation.

Payment Terms

Engagement fees are stated in Thai Baht (฿) and are exclusive of VAT at 7%. The applicable fee for each engagement is confirmed in the written scope document. Payment terms are as follows:

• Payment is due as agreed in the engagement scope document — typically 50% at scope agreement and 50% upon delivery of the final output
• Accepted payment methods include bank transfer to a Thai bank account (details provided in the scope document)
• Invoices will be issued in accordance with Thai tax invoice requirements

Cancellation: Where a client cancels an engagement after the scope has been agreed and work has commenced, the portion of the fee corresponding to work already completed is non-refundable. The remaining balance will be assessed on a pro-rata basis based on work completed at the time of cancellation. Cancellation terms are confirmed in each engagement scope document.

Engagement-Specific Terms

Each consulting engagement is governed by a written scope document agreed between Cinderpath and the client organisation. The scope document defines the deliverable, timeline, fee, review cycle process, and confidentiality terms applicable to that engagement.

Scope changes requested by the client after work has commenced will be assessed and, where material, may require a revised scope document and adjusted fee. Changes will not proceed without written agreement from both parties.

The consultant does not make decisions on behalf of the client organisation. The leadership team retains full decision-making authority throughout any engagement.

Disclaimers

Our website and its content are provided on an "as available" basis. Cinderpath makes no representations about the completeness or accuracy of website content and reserves the right to update or remove content at any time without notice.

Consulting services are delivered with professional care and skill. However, Cinderpath does not represent that any particular outcome will result from an engagement. Written reports and deliverables reflect observations and analysis at the time of the engagement and are not predictions of future performance.

Nothing in these terms constitutes financial, legal, medical, or regulatory advice.

Limitation of Liability

To the extent permitted by Thai law, Cinderpath's total liability arising from or in connection with any engagement shall not exceed the fee paid for that engagement.

Cinderpath is not liable for indirect, consequential, or incidental losses arising from the use of our website or consulting services, including loss of revenue, loss of data, or business interruption.

This limitation does not apply to liability for fraud, gross negligence, or any liability that cannot be excluded by law.

Indemnification

You agree to indemnify and hold harmless Cinderpath and its consultants from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms and Conditions or your use of our website or services in a manner inconsistent with these terms.

Termination

Either party may terminate an engagement by providing written notice, subject to the cancellation terms set out in the engagement scope document. Termination does not affect obligations that have already accrued, including payment obligations for work completed.

Cinderpath reserves the right to terminate access to this website or decline further services to any party that has breached these terms.

Provisions of these Terms that by their nature survive termination — including intellectual property, limitation of liability, and dispute resolution — shall remain in effect after termination.

Dispute Resolution and Governing Law

These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any dispute arising from these terms or from a consulting engagement will be subject to the exclusive jurisdiction of the courts of Chonburi Province, Thailand.

Before commencing any formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct discussion within 30 days of written notice of the dispute.

General Provisions

• Entire agreement: These Terms, together with any engagement scope document, constitute the entire agreement between the parties for the relevant service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.
• Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce it subsequently.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
• Notices: Legal notices to Cinderpath should be sent by email to [email protected] or by post to 76 Beach Road, Bang Lamung, Chonburi 20150, Thailand.

Changes to These Terms

We may update these Terms and Conditions from time to time. Material changes will be reflected in an updated "Last Updated" date at the top of this page. Continued use of our website after such changes constitutes acceptance of the revised terms. Existing engagement scope documents are not affected by changes to these general Terms unless both parties agree otherwise in writing.
